USE OF NETWORK CONNECTION.
The network connection to be provided by US Net to Customer
may be used by the directors, officers and employees of Customer,
and its agents and consultants while performing services for Customer,
for commercial, research, and/or education purposes. Connection
may also be used by entities and their users that are directly attached
to Customer. If the Customer has not purchased Gateway
Service from US Net, the Customer may not receive payment
or barter for allowing others to use Customer's Internet connection
to route Internet traffic.

EFFICIENT USE.
Customer agrees to use reasonable efforts to promote efficient use
of the network to minimize, and avoid if possible, unnecessary network
traffic. Customer shall not disrupt US Net's network
or any related networks. Connection shall not be used
to transmit any communication where the meaning of the message or
its transmission or distribution, would violate any applicable law
or regulation or would likely be highly offensive to the recipient
or recipients thereof. Customer agrees to abide by US
Net's Acceptable Use Policies (AUP) which may be modified
from time to time. Customer is responsible for the lawfulness
of any data transmission or use of the Connection, including payment
of shareware royalties, if applicable, directly to the authors of
such software.

PAYMENTS.
The first and last months' access fees and a one-time setup fee
(based on the type of service ordered) are required for Connection
to be placed into service. Thereafter, the Customer will
be billed via U.S. Mail on a monthly basis. Payment is
due on the first day of each month at the US Net address
herein specified. If payment is not received within 30
days a one-point-five percent (1.5%) late fee will be charged. If
payment is not received within sixty (60) days, the Connection
will be disconnected and the account considered delinquent. Delinquent
accounts are subject to reasonable collection and attorney fees. Returned
checks are subject to a charge of $25.00. Credit card
subscribers agree to pay all billed amounts according to the card
agreement. Customer may upgrade the Connection at any
time. In the event of a Connection upgrade, unused Connection
time will be pro-rated on a per diem basis and applied toward the
upgraded Connection.

CONNECTION INTEGRITY.
Customer understands and agrees to cooperate with US Net
in the remote possibility that US Net must temporarily disconnect
Customer in order to exchange equipment or upgrade software. In
such a case, US Net will make reasonable efforts to notify
customers in advance of said upgrade, and will attempt to schedule
these upgrades during periods of minimum use. Due to
the complexity of computer networks, US Net and Customer
agree to cooperate in seeking solutions to technical difficulties.
NETWORK CONTENT.
Customer understands that news groups, and other sources of information,
may contain material unsuitable for children and others due to their
content. US Net does not monitor or filter the
content of information flowing through the network unless US
Net has reason to believe that the content violates applicable
United States laws, or is interfering with the normal operation
of the network.
NO WARRANTIES.
US Net makes no claims as to whether Connection to computer
networks provides content suited for Customer's needs. US
Net expressly disclaims any and all warranties, including without
limitation:
- any warranties as to the availability, accuracy, or content
of information, products, or services; and
- any warranties of merchantability or fitness for a particular
purpose.
Customer agrees to indemnify and hold harmless US Net from
any claims resulting from customer's use of the service which damages
either the customer or another party or parties. NO ORAL
ADVICE OR WRITTEN INFORMATION GIVEN BY US NET, ITS EMPLOYEES,
LICENSORS, RESELLERS OR THE LIKE, SHALL CREATE A WARRANTY; NOR SHALL
YOU RELY ON ANY SUCH INFORMATION OR ADVICE.

LIMITED LIABILITY.
US Net shall not be liable to Customer for any damage arising
from any event that is out of the control of US Net. Neither
shall US Net be liable to Customer for indirect, special,
incidental, exemplary, consequential, or any other form of money
damages, including, but not limited to, lost profits, or for the
loss of data or information of any kind, however caused, and arising
out of or in connection with the performance of US Net, or
the provision of services or performance hereunder, whether based
in contract, tort, or any other legal theory, and whether or not
US Net has been made aware of the possibility of such damages. In
no event shall liability exceed a refund of amounts actually paid
to US Net by Customer for the then current contract month. To
assume greater liability on our behalf would require US Net
to charge higher rates for service.

NETWORK PROTOCOLS.
The protocols used on the US Net network, generally classified
as internet protocols, call for end-to-end verification of the accuracy
of any message. Similarly, most of these protocols provide
for end-to-end verification of the receipt of all of the data that
is transmitted. US Net will not be responsible
for the loss of any data from delays, non-deliveries, incorrect
deliveries, service interruptions, including those caused by the
negligence, errors or omissions of US Net, or other losses
or damages. Use of information obtained via the services
provided hereunder is at Customer's own risk. Customer
is solely responsible for the accuracy and/or quality of information
obtained or data transmitted through the US Net network and
assuring that each message Customer sends or receives has been received.

COMPLIANCE.
Customer shall be responsible for taking reasonable steps to secure
compliance with these terms and conditions by all persons using
the Connection at, by, or through the Customer's Connection. If
a probable violation is detected, Customer will take appropriate
corrective action and notify US Net as soon as possible.
PROHIBITED ASSIGNMENTS.
Without the prior written consent of US Net, which shall
not be unreasonably withheld, the customer may assign this agreement
or the performance of its obligations to others under this Agreement.
FAILURE TO COMPLY.
Failures of service by the telephone company, the local exchange
carrier, the inter-exchange carrier, other third party, or by strikes,
labor disturbances, Acts of God, or any event of force majeure which
prevents commencement of service hereunder or causes material continuing
degradation of service under this Agreement shall give both US
Net and the Customer the right to terminate this Agreement. Any
termination for failure to pay will require at least seven (7) days
prior written notice. Any other termination will require
at least 30 days prior written notice.
SERVICE INTERRUPTIONS.
If the service provided pursuant to this Agreement is not operational
for a period of 24 or more continuous hours for reasons that are
caused solely by the action or inaction of US Net, the period
of service will be extended by a comparable period without obligating
Customer to pay for such extension(s) of service.

TECHNICAL ASSISTANCE.
US Net provides free technical support to Customers using
the telephone, web, and electronic mail. This technical
support is intended to assist the Customer with problems connecting
to the Internet through our service. US Net hires
only qualified technical support personnel to assist our Customers,
and those personnel undergo continuous training in various engineering
and customer support areas. While unlikely, it is possible
that our assistance may actually make things worse and could possibly
result in the complete destruction of your computer, its operating
system, and all of the data stored on that computer. The
Customer agrees to accept full responsibility for any damage to
their computer or data while relying on technical assistance from
US Net. The Customer also agrees to indemnify
and hold harmless US Net from any claims resulting from the
Customer's use of US Net's technical support.

COMPUTER HARDWARE AND SOFTWARE.
Customer acknowledges that US Net is an Internet provider,
and is not in the business of installing or supporting computer
software or hardware. While there are many ways to connect
to the Internet, US Net recommends that a dedicated Internet
router be used for this purpose. There are some computer
operating systems, including Windows NT, that may be unreliable
for supporting a connection to the Internet, or for supporting Internet
services such as Internet e-mail. While US Net
may be able to provide advice in regard to configuring specific
combinations of computer hardware and software, the Customer accepts
full responsibility for the choice of computer hardware and software
used to support the connection to the Internet.

CONNECTION TO US NET.
Customer acknowledges that in order to connect the Customer's network
to US Net's Internet service, the connection must pass through
wires and fiber optic cables owned and operated by an independent
telephone company, such as Bell Atlantic. This connection
is known as the circuit. US Net will assist the
customer in resolving problems with the circuit, however, the Customer
acknowledges that US Net is not a telephone company and has
no control over the manner and speed in which problems get resolved
by the telephone company. In addition, any charges incurred
in connection with the customer's circuit are payable to the phone
company and are the responsibility of the Customer.
